1. Introduction & Acceptance
By creating an account or using Valtrics, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.
Definitions:
- "Service" means the Valtrics product portfolio management platform, including all features, content, and functionality.
- "User," "you," and "your" refer to the individual or organization using the Service.
- "Valtrics," "we," and "our" refer to Valtrics B.V., a company incorporated in the Netherlands.
- "Content" means all data, information, and materials you create, upload, or store in the Service.
- "Beta Period" means the current testing phase during which the Service is provided free of charge.
2. Eligibility & Account Registration
Age Requirement: You must be at least 18 years old or the legal age of majority in your jurisdiction to use the Service.
Authority to Bind Organization: If you are registering on behalf of a business or organization, you represent and warrant that you have the authority to bind that organization to these Terms.
Individual Users: Individual users accept these Terms personally and are responsible for their own use of the Service.
Account Security: You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@valtrics.io if you suspect unauthorized access to your account.
3. Service Description
Valtrics provides a product portfolio management platform that enables you to create KPI trees, track metrics, manage product portfolios, and analyze product value. The Service includes features for:
- KPI tree creation and visualization
- Product portfolio management
- Metrics tracking and reporting
- Value discovery workflows
- Team collaboration and workspace management
Beta Disclaimer: During the Beta Period, the Service is provided "as-is" without warranties or service level guarantees. Features may change, be discontinued, or contain bugs. We may modify, suspend, or discontinue any feature or aspect of the Service at any time with reasonable notice for material changes.
No SLA During Beta: There are no uptime guarantees, performance commitments, or support response time guarantees during the Beta Period.
4. User Data & Intellectual Property
You Own Your Data: You retain all ownership rights to data you create in Valtrics, including KPI trees, products, metrics, feature definitions, and all other content. Valtrics does not claim any ownership of your Content.
License to Valtrics: You grant Valtrics a limited, non-exclusive, worldwide license to process, store, and display your Content solely for the purpose of providing the Service to you. This license terminates when you delete your Content or terminate your account.
No Broader Use: Valtrics will not use your Content for training AI models, marketing, product development, or any purpose other than providing the Service to you.
Valtrics Intellectual Property: The Valtrics platform, software code, design, user interface, branding, and documentation remain the exclusive intellectual property of Valtrics. You may not copy, modify, reverse engineer, or create derivative works of the Service.
5. Acceptable Use Policy
You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. Prohibited uses include:
- Illegal Activities: Using the Service to engage in, promote, or facilitate illegal activities or content.
- Security Violations: Attempting to gain unauthorized access to the Service, other user accounts, or Valtrics systems through hacking, password mining, or any other means.
- Reverse Engineering: Decompiling, disassembling, or reverse engineering the Service or attempting to discover source code.
- Abuse and Harassment: Using the Service to harass, threaten, or harm others.
- Excessive Use: In the future, when API access is provided, automated scraping or excessive API usage that disrupts Service availability.
Account Suspension: Valtrics may suspend or terminate your account if you violate this Acceptable Use Policy. We will provide notice where reasonably possible, except in cases of severe violations or legal requirements.
Investigation: Valtrics reserves the right to investigate suspected violations and cooperate with law enforcement if illegal activity is suspected.
6. Fees & Payment
Current Beta Status: Valtrics is currently in beta and free to use. No payment is required during the Beta Period.
Future Pricing: Before we begin charging fees, we will provide at least 30 days' advance notice via email and in-app notification. Updated terms regarding pricing, billing cycles, payment methods, auto-renewal, and cancellation policies will be provided at that time.
Right to Decline Paid Service: You may terminate your account before paid service begins if you do not wish to continue under the new pricing terms.
7. Account Termination & Data Deletion
User-Initiated Termination: You may terminate your account at any time through your account settings or by contacting support@valtrics.io. Termination is effective immediately upon request.
Valtrics-Initiated Termination: Valtrics may terminate your account for the following reasons:
- (a) Violation of these Terms
- (b) Non-payment of fees (when pricing is implemented)
- (c) Legal requirement or court order
- (d) Discontinuation of the Service with at least 90 days' advance notice
Data Deletion: Upon account termination, all your Content will be permanently deleted within 30 days. This deletion is irreversible.
Export Responsibility: It is your responsibility to export your data before terminating your account. Valtrics is not responsible for providing data after the 30-day deletion period.
Retention Exceptions: Valtrics may retain certain data longer if required by law, for resolving disputes, or for enforcing these Terms. Retained data will be kept confidential and used only for the specified purpose.
8. Limitation of Liability
Liability Cap: Valtrics' total liability for any and all claims arising from these Terms or your use of the Service is limited to the greater of:
- (a) The total fees you paid to Valtrics in the 6 months immediately preceding the claim, or
- (b) EUR 500 (five hundred euros)
Excluded Damages: To the maximum extent permitted by law, Valtrics shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:
- Lost profits or revenue
- Lost data or business interruption
- Loss of business opportunities
- Costs of substitute services
- Reputational harm
Exceptions to Liability Cap: The liability limitations above do not apply to:
- (a) Gross negligence or willful misconduct by Valtrics
- (b) Death or personal injury caused by Valtrics
- (c) Fraud or fraudulent misrepresentation
- (d) Any liabilities that cannot be excluded or limited under applicable law
Beta Consideration: During the Beta Period, since no fees are being charged, the EUR 500 minimum liability cap applies.
9. Warranties & Disclaimers
"AS-IS" Service: The Service is provided "as-is" and "as-available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
No Warranty of Reliability: Valtrics does not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Service will be accurate or reliable
- Any defects in the Service will be corrected
- The Service will meet your specific requirements
Beta-Specific Disclaimer: You acknowledge and agree that the Service is currently in beta testing and may contain bugs, errors, incomplete features, and performance issues. You use the Service at your own risk during the Beta Period.
Jurisdiction-Specific Limitations: Some jurisdictions do not allow the disclaimer of implied warranties. In such jurisdictions, the above disclaimers may be limited to the extent permitted by applicable law.
10. Governing Law & Dispute Resolution
Governing Law: These Terms are governed by and construed in accordance with the laws of the Netherlands, excluding its conflict of law principles.
Business Users (B2B) -- Arbitration: If you are using the Service on behalf of a business or organization, any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in the Netherlands under the rules of the Netherlands Arbitration Institute (NAI). The arbitration shall be conducted in English.
Individual Consumers (B2C) -- Court Rights: If you are an individual consumer in the European Union, you retain the right to bring disputes in the courts of your country of residence, as provided by EU consumer protection law. This provision does not limit any mandatory consumer protection rights you may have under applicable law.
Non-EU Consumers: If you are an individual consumer outside the European Union, you are entitled to any mandatory consumer protection rights under the laws of your jurisdiction.
Language: If these Terms are translated into other languages, the English version shall prevail in case of any conflict or inconsistency.
Informal Resolution: Both parties agree to attempt to resolve disputes informally before initiating formal arbitration or court proceedings. Please contact us at legal@valtrics.io or support@valtrics.io to discuss any concerns.
11. General Provisions
Changes to Terms: We may update these Terms from time to time to reflect changes in the Service, legal requirements, or business practices. We will provide at least 30 days' advance notice of material changes via email to your registered email address or through an in-app notification. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you may terminate your account.
Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms, together with our Privacy Policy (when published), constitute the entire agreement between you and Valtrics regarding the Service and supersede all prior agreements and understandings.
No Waiver: Valtrics' failure to enforce any provision of these Terms shall not constitute a waiver of that provision or Valtrics' right to enforce it in the future.
Assignment: You may not assign or transfer these Terms or your account to any third party without Valtrics' prior written consent. Valtrics may assign these Terms to a successor or affiliate in connection with a merger, acquisition, or sale of assets.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
